1 Acceptance of Terms

By downloading, installing, or using PayZaa in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you do not agree to these Terms, do not use PayZaa. These Terms form a legally binding agreement between you and Eliosof.

2 Description of Service

PayZaa is a business management platform for African entrepreneurs providing:

• Sales invoice creation and management
• Mobile money payment link generation and processing
• Customer queue management with QR check-in and pre-ordering
• Digital wallet for receiving and withdrawing funds
• Team management with role-based staff access
• AI-powered sales insights and automated SMS receipts
• Business reports, analytics, and activity logs
• Web dashboard at eliosof.payzaa.com/dashboard

3 Eligibility

To use PayZaa you must:

• Be at least 18 years of age
• Be a legitimate business owner, sole trader, or authorised business representative
• Have legal capacity to enter a binding contract
• Not be prohibited from using the Service under any applicable law

PayZaa is for business use only. Personal non-commercial use is not permitted.

4 Account Registration

You agree to:

• Provide accurate and complete information during registration
• Keep your password confidential and not share it
• Notify us immediately of any unauthorised account access
• Be solely responsible for all activity under your account

5 Acceptable Use

You must NOT use PayZaa to:

• Process payments for illegal goods or services
• Engage in money laundering, fraud, or financial crime
• Impersonate another person or business
• Circumvent or interfere with security features
• Attempt unauthorised access to other accounts or systems
• Reverse-engineer or decompile the app
• Violate any applicable local, national, or international law

6 Payment Processing

PayZaa uses third-party processors (Hubtel and Orchard Payment) to facilitate mobile money transactions. By using payment features you also agree to their terms.

• PayZaa is not a bank or licensed payment institution
• Settlement times depend on the payment provider and mobile network
• We are not liable for failures caused by third-party provider outages
• You are responsible for the accuracy of all invoices and product information

Voiding Invoices

Voiding a paid mobile money invoice reverses the wallet credit. Physical MoMo refunds to customers must be arranged by you — PayZaa does not initiate direct mobile money refunds to customers.

7 Wallet & Withdrawals

• Your PayZaa wallet holds funds from mobile money payments
• Withdrawals are sent to your registered MoMo number
• You are responsible for providing correct withdrawal account details
• We cannot recover funds sent to incorrect numbers
• Account deletion forfeits unclaimed wallet balance — withdraw before closing your account

8 Fees

• App download & registration: Free
• Invoice creation: Free
• Transaction fees: Applied by payment processors per transaction

We reserve the right to introduce fees in future. We will notify existing users at least 30 days before any charges apply.

9 Team Accounts & Staff

• You are responsible for all actions taken by staff members under your account
• Staff access is role-limited (Cashier / Manager / Owner)
• You may revoke staff access at any time from Team settings
• Staff members must agree to these Terms before accepting an invitation

10 Intellectual Property

PayZaa and all related names, designs, and software are the property of Eliosof. You are granted a limited, non-exclusive, revocable licence to use the app for your legitimate business purposes.

You retain ownership of your shop data and content. By using PayZaa, you grant us a limited licence to process and display this content to provide the Service.

11 Google Play & Apple App Store

Google Play

Downloads from Google Play are also subject to Google Play Terms of Service. Google is not a party to these Terms and has no support obligations for the app.

Apple App Store (iOS)

Downloads from the Apple App Store are also subject to Apple's Standard EULA. The following applies:

• These Terms are between you and Eliosof — not Apple Inc.
• Apple has no obligation to provide maintenance or support for PayZaa
• Apple is not responsible for any claims relating to the app
• In the event of an intellectual property infringement claim, Eliosof (not Apple) is solely responsible
• Apple and its subsidiaries are third-party beneficiaries of these Terms
• You confirm you are not in a US-embargoed country or on any US government prohibited list

In-App Purchases

Any future in-app purchases will be processed through Google Play or Apple's in-app purchase system. Refund requests must be directed to Google or Apple respectively.

12 Disclaimers

The Service is provided "AS IS" without warranties of any kind. We do not warrant uninterrupted, error-free operation. AI-generated content (insights, SMS messages) is provided for convenience — verify critical business information independently.

13 Limitation of Liability

To the maximum extent permitted by law, Eliosof shall not be liable for indirect, incidental, or consequential damages including loss of profits, data, or business opportunities. Our total liability shall not exceed the greater of amounts you paid us in the preceding 12 months or USD $100.

14 Indemnification

You agree to indemnify and hold harmless Eliosof from claims arising from your violation of these Terms, applicable law, or disputes with your customers or staff.

15 Suspension & Termination

By you: Delete your account via Settings → Delete Account, or email privacy@eliosof.payzaa.com.

By us: We may suspend or terminate accounts for Terms violations, fraud, false information, or failed KYC without notice.

16 Dispute Resolution

Contact us first at privacy@eliosof.payzaa.com. If unresolved within 30 days, disputes will be settled by binding arbitration. These Terms are governed by applicable laws without regard to conflict of law principles.

17 Changes to Terms

We will notify you of material changes via push notification and in-app notice. Continued use after changes take effect constitutes acceptance.
